Terms & Conditions
The Terms and Conditions ("Terms") outline the rules and guidelines that govern your use of our website and the services we offer, which include custom website and mobile app development, design, and related digital solutions. By accessing or using our website or engaging with our services, you agree to comply with and be bound by these Terms.
We value transparency and want to ensure a clear understanding between us and our clients. These Terms are designed to protect both parties, define our respective rights and obligations, and ensure that we provide the highest quality services while maintaining professional integrity and trust.
License Grant : Upon full payment, OpenGenX grants the Client a limited, non-exclusive, non-transferable license to use the final deliverables (e.g., website, mobile app, designs) for the specific purpose and within the scope defined in the project agreement.
This license is granted subject to the following terms:
Term and Termination:
This Agreement begins on the date it is accepted by the Client and continues until the completion of the services, unless terminated earlier by either party. The Client may terminate the Agreement at any time with written notice, and agrees to pay for all work completed up to that point; any deposits made are non-refundable. OpenGenX reserves the right to terminate the Agreement if the Client fails to meet payment obligations, breaches any part of these Terms, or causes unreasonable delays. Upon termination, any unpaid work will be invoiced, and rights to any deliverables remain with OpenGenX until full payment is received. Terms related to payment, confidentiality, and intellectual property will continue to apply even after termination.
Upgrades, Updates, and Fixes
Upon completion and delivery of the project, OpenGenX shall provide a limited support which any technical issues or defects arising from the original scope of work will be addressed at no additional cost to the Client.This includes minor bug fixes or corrections necessary to ensure proper functionality as initially specified. Requests for enhancements, feature additions, or compatibility updates—such as adapting to new operating system versions, browser updates, or third-party service changes—shall not be considered part of the original agreement and will be subject to a separate quotation and timeline. Furthermore, OpenGenX shall not be held responsible for errors resulting from modifications made by the Client or by third parties without prior authorization. Ongoing updates, upgrades, or maintenance services may be offered under a separate maintenance agreement, if applicable.

- - The Client may not modify, sublicense, or distribute the deliverables to third parties without prior written consent from OpenGenX.
- - The Client does not have the right to resell, reverse-engineer, or repurpose the deliverables for other projects.
